Prohibited Conduct

8. Termination

Either party may terminate this Agreement at any time. Upon termination, the Affiliate must promptly remove all Vigor Peptides materials from public channels.
The Company may terminate participation immediately for:

Any violation of this Agreement;
Misrepresentation of products;
Inappropriate, deceptive, or unlawful activity; or
Conduct deemed harmful to the brand’s integrity.

Upon termination, the Affiliate forfeits access to all data and unpaid commissions.

9. Relationship of Parties

The Affiliate and Vigor Peptides are independent entities. Nothing in this Agreement shall create any partnership, joint venture, agency, or employment relationship.
The Affiliate has no authority to bind or act on behalf of the Company in any capacity.

10. Limitation of Liability and Indemnification

The Affiliate participates at their own risk. Vigor Peptides, its parent companies, affiliates, subsidiaries, officers, directors, employees, and agents shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising from participation in the program.
The total liability of the Company shall not exceed the total commissions earned by the Affiliate in the preceding thirty (30) days.

The Affiliate agrees to indemnify and hold harmless the Company from any claims, liabilities, damages, or expenses arising out of:

Their breach of this Agreement;
Their violation of any law or regulation; or
Their negligent, misleading, or unauthorized promotional activities.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles.
Any dispute or claim arising under or relating to this Agreement shall be resolved by binding arbitration in Pinellas County, Florida, in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA).
Arbitration shall be conducted by a single arbitrator familiar with Internet commerce. The arbitrator’s decision shall be final and binding.
Each party shall bear its own attorneys’ fees and share arbitration costs equally.
Notwithstanding the foregoing, Vigor Peptides may seek injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm.

12. Miscellaneous

Affiliates must be at least 18 years old and a legal resident of the United States.
